General legal counsel:

    · Diagnose and evaluate corporate legal affairs risks and summarize the related preventive countermeasures；

    · Conduct the educational training on the planning and implementation of the corporate legal affairs；

    · Review and draft enterprise documents and contracts, and guide enterprises to establish relevant rules and regulations；

    · Guide enterprises to establish the credit management system and daily client credit management；

    · Guide enterprises to establish the intellectual property management system and daily maintenance management； 

    · Recover the receivables due through legal measures；

    · Issue legal opinions on major investment decisions and related business activities；

    · Participate in or assist in related business negotiations；

    · Handle litigation and non-litigation matters；

    · Provide the application procedures of relevant certificates and licenses, and communicate and contact with the government and news organizations。

   Cooperate business:

    ·Provide legal consultation, planning scheme and feasibility demonstration for the establishment of company, draft legal documents such as contracts and articles of association on behalf of client, participate in negotiation and handle legal procedures for company examination & approval, registration, etc；

    ·Provide legal advice for company’s capital operation scheme, draft, revise and review various legal documents related to corporate borrowing, foreign investment, issuance of stocks or bonds, securities listing and trading, etc. on behalf of client, issue relevant legal opinions, assist in legal procedures, and proceed with lawyer attestation；

    ·Participate in major negotiations in company’s operation and management activities, review, modify or draft contracts and related legal documents on behalf of client, and provide legal consulting or issue legal opinions for major business management decisions such as resolutions of shareholders’ meeting and board of directors；

    ·Provide solutions and feasibility demonstration for restructuring or joint-stock reform in company’s property right structure change, issue legal opinions, and handle relevant legal procedures；

    ·Provide all-round legal services for company’s equity transfer, acquisition, merger, assets restructuring and other transactions of property rights, including providing legal consulting, issuing legal opinions, participating in various negotiations, producing relevant documents, handling relevant examination & approval, registration procedures, and proceed with lawyer attestation；

    ·Other legal affairs involved in the operation of company；

    ·Serve as company’s daily operation legal counsel.

   Enterprise listing and financing:

    ·Preliminary planning and preparation for listing: Carry out the in-depth investigation of corporate legal structure, select the listing location and listing opportunity according to listing requirements of various regions；

    ·Corporate reorganization and assets divestiture: Carry out the assets restructuring, assets divestiture or share right replacement in accordance with the requirements of the listing rules, so that the enterprise can maximize the benefits while meeting the requirements for listing；

    ·Due diligence and issuance of legal opinions: Carry out the due diligence on the company applying for listing and issue legal opinions according to the requirements of the securities regulatory authority；

    ·Coordination and cooperation with various intermediary agencies in the listing work: Share the experience and resources in the securities industry with the company, coordinate and cooperate with the intermediary agencies in the listing work, and strive to complete the listing in the shortest possible time.

   Equity and assets disposal：

    ·Carry out the project background investigationand due diligence on the ownership of the disposed equity or assets and issue relevant legal opinions；

    ·Provide the disposal program for the equity or assets to be disposed, and assist the appraisal agency in assets appraisal；

    ·Conduct the background investigation on the transferor or transferee of the disposed equity or assets, and issue relevant legal opinions；

    ·Act for or participate in negotiations, review and draft relevant contracts and legal documents, review relevant documents and issue legal opinions；

    ·Provide all-round disposal legal services under entrustment, and handle the registration of ownership change, industrial and commercial business, taxation and other matters.
